Introduction to Terms of Use:

These terms of use constitute a legally binding document governing the relationship between Zkart Logistics, a limited Liability Partnership Company, herein refer as ( Zkart Express) with its registered office at 106, 6th Cross, HBCS Layout, Chikkalasandra, Bangalore – 560017, (“Company”, "We", "Us", "Our"). Zkart Express and merchants registered on the 'Zkart Express for Business' platform. The terms dictate the relationship between the merchants (referred to as "Merchant," "You," "Your," "Yourself," or "User") and Zkart Express, outlining the terms under which the Merchant utilizes Zkart Express services and accesses the platform

The website www.zkartlogistics.in and the Zkart Xpress mobile app are operated by Zkart Logistics Limited Liability Company. These platforms connect merchants with independent third-party logistics service providers (referred to as "Delivery Partners'') to facilitate the pickup and delivery of packages. Zkart Express role is strictly as a technology platform managing these connections and providing Zkart Express Services (as defined below). It's important to note that Zkart Express doesn't directly provide logistics services, and the Delivery Partners are independent entities, not employees or agents of Zkart Express.

1. Platform Registration:

• Access and Onboarding Process:To access the Platform and utilize Zkart Express services, you must complete an onboarding process. This process involves Application Program Interface (API) integration with Zkart Express. However, if you're unable to perform the API integration, Zkart Express may provide an alternative method at its discretion.
• Registration and Information Accuracy:Upon registering with Zkart Express, you're obligated to provide accurate and current information about yourself or your organisation. You confirm that the information provided during registration is truthful and up-to-date. Should there be any changes to this information, you agree to promptly inform Zkart Express in writing at least one week before the effective date of such changes
  Zkart Express does not independently verify the information you provide and cannot be held responsible for its accuracy, completeness, or currency. If you provide false, inaccurate, outdated, or incomplete information, or if Zkart Express reasonably suspects this, they reserve the right to suspend or terminate your account. Additionally, Zkart Express may refuse any present or future use of the Platform, or any part of it, at any time.

2.Zkart Express Service:

1. Zkart Express offers several services, including:
   • Providing a licence for accessing the Platform.
   • Enabling connections with Delivery Partners for Pick Up and Drop Off Services.
   • Facilitating payment transactions between users and Delivery Partners.
2. Modification of Services:Zkart Express reserves the right, at its sole discretion, to modify, add, withdraw, or alter any Zkart Express Services. There's no guarantee that all services will be continuously available
   
3. Pick Up and Drop Off Services and Delivery Partner Relationship: Users can initiate transactions on the Platform to send packages to specified locations via Delivery Partners.
   Zkart Express acts solely as a technology platform connecting users and Delivery Partners. The Delivery Partner is independent and not an employee, agent, or affiliate of Zkart Express.
   Zkart Express is not liable for the actions, quality, or deficiencies in services provided by the Delivery Partner.
   
4. Transaction Initiation and Location Details: Upon a user's request for Pick Up and Drop Off Services, Delivery Partners near the pickup location will be notified. The Delivery Partner, upon availability, may accept the request. Users are responsible for providing accurate and identifiable pickup and drop-off locations.
   
5. Lawful Use of the Platform:Users agree to use the Platform and Zkart Express Services for lawful purposes and not for items that are illegal, hazardous, or prohibited by law or these terms.
   
6. Contents of Packages:Users confirm awareness of package contents sent via Delivery Partner, ensuring they are legal and within transportation/logistics limits as per applicable laws.
   
7. Offence Reporting and Restricted Items:If the Delivery Partner becomes aware of any offence or intent to commit an offence involving restricted items under the law, they may report it to law enforcement.
   
8. Zkart Express Liability and Restricted Items:Zkart Express does not verify packages or items being delivered and holds no liability for them or your use of the services. However, if notified by law enforcement about the delivery of restricted items, Zkart Express may take appropriate actions, including account suspension or termination.
   
9. Transaction Completion Notification:Users will be notified on the Platform if a transaction initiated cannot be completed.
   
10. Location-Based Information and Consent:Zkart Express may use location-based information captured through GPS to improve services, and users consent to the monitoring and tracking of their geo-location. Delivery Partners may also have access to this information.
    These terms outline the service scope, responsibilities, and limitations for users engaging with Zkart Express and its associated services
    

3.Merchant Information Ownership and Control:

1. Merchant Data Responsibility:
   • You, as a merchant, hold sole responsibility for the information you provide to Zkart Express. This includes the compilation of Merchant Accounts, contact numbers, and email addresses, which are owned by Zkart Express.
2. Account Suspension and Unique Identity:
   • If the Platform cannot establish a unique identity for a Merchant based on the provided details, the Merchant's Account may be suspended indefinitely.
   • Zkart Express retains full discretion to suspend a Merchant's Account in such cases and is not obligated to disclose any Account information.

4. Payment & Taxes:

1. Payments for Pick Up and Drop Off Services:
   • Delivery Fee Payment: When requesting Pick Up and Drop Off Services, you may need to pay a delivery fee to the Delivery Partner, as displayed on the Platform. Zkart Express facilitates the collection and disbursement of this fee on behalf of the Delivery Partner, ensuring compliance with relevant laws. Statements of transactions are periodically issued on behalf of the Delivery Partner.
   • Settlement to Merchant: All settlements to the Merchant are conducted in accordance with applicable laws. If the Merchant opts for a post-paid payment option, they must ensure timely payment as communicated by Zkart Express.
   • Cash on Delivery: If the Merchant enables a cash on delivery option for customers and authorises Delivery Partners to collect cash on their behalf during drop-offs, the Merchant must ensure customers are informed to hand over the appropriate amount without delay. The Merchant receives payment for cash on delivery after settling the Delivery Fee and any other obligations.
2. Tax Compliance:
   • Merchant Responsibility for Taxes: Merchants are responsible for complying with relevant tax regulations for transactions facilitated through Zkart Express Services. This includes goods and service tax, withholding taxes, and other applicable taxes. Settlement amounts for Pick Up and Drop Off Services are not subject to deductions for taxes; it's considered a pass-through amount for the Delivery Partner
   • Tax Details and Compliance Support: Zkart Express provides details of Pick Up and Drop Off Services to assist Merchants in meeting their tax obligations. However, Zkart Express is not liable for any tax compliance or non-compliance by the Merchant or the Delivery Partner.

5. Insurance Responsibility:
You, as the user of Pick Up and Drop Off services through the Platform, acknowledge that you are solely responsible for the items being delivered. Zkart Express holds no responsibility for any loss, theft, or damage to these items.
Zkart Express may occasionally assist merchants in accessing insurance services from third-party vendors. However, it's entirely at the discretion of the Merchant to directly opt for such insurance from a third-party provider.
Zkart Express explicitly disclaims any liability for loss, theft, or damage incurred by the Merchant, regardless of whether the Merchant chooses to avail insurance services or not.
6. Rating Process:

1. After a transaction is completed on the Platform, the Merchant will be prompted to provide a rating and comments specifically regarding the services performed by the Delivery Partner.
   
2. Use and Display of Ratings and Comments:
   • Zkart Express and its affiliates retain the right to utilise, share, and showcase these ratings and comments in any manner related to their business operations without needing approval or attribution from the Merchant.
   • However, Zkart Express and its affiliates also reserve the right to edit or remove comments if they contain objectionable content (such as obscenities), include personal information, or violate privacy laws, other applicable regulations, or content policies of Zkart Express or its affiliates.
   • In essence, this section outlines the process of rating the Delivery Partner's services and grants Zkart Express and its affiliates the right to utilize and display these ratings and comments in their business operations while also maintaining the authority to edit or remove comments that do not adhere to specified guidelines or laws.

7. Cancellation Process:

1. Cancelling a Transaction: To cancel a transaction on the Platform, you must select the cancel option available on the Platform. It's important to note that there might be limitations on cancelling a transaction once the Delivery Partner has reached the pick-up location. Cancellation might not be allowed at this stage. The cancellation fee will be recovered from your next trip with
   
2. Grounds for Transaction Cancellation:
   • Incomplete or Insufficient Information: If the information, instructions, or authorizations provided by you (including pick-up and drop-off location details) are insufficient for the Delivery Partner to execute the initiated transaction, cancellation might occur
   • Unavailable Delivery Partner: If a Delivery Partner is unavailable to perform the requested services, the transaction may be cancelled. Technological Glitches: If the transaction cannot be completed due to reasons beyond Zkart Express's control, such as technological glitches, it may lead to cancellation.

8.Consignments:
If the recipient rejects the delivery, we'll attempt to reach you to determine the next steps. By agreeing, you assume responsibility for covering any expenses ZKART EXPRESS incurs for redirecting, disposing of, or returning the shipment, including any additional charges for the agreed-upon next steps
Failure to accept Goods upon readiness for delivery or inability to deliver at the scheduled time due to your failure to provide necessary instructions or authorizations will result in the Goods being considered delivered to you. At that point, all risks and benefits associated with the Goods will pass to you.

9.Amendment top terms of contract:
The Company reserves the right to supplement, modify, or alter any or all of these terms and conditions at any time. The Customer will be obliged to adhere to these changes once they are integrated into these terms and conditions on the Company's website, www.zkartlogistics.in The effective date of such changes will be as specified by the Company on its website.

10. Intellectual Property Rights:
ZKART EXPRESS retains exclusive ownership or lawful licensing of all rights pertaining to the website and its content, encompassing design, layout, text, images, and multimedia elements. These materials are safeguarded by trade secrets, worldwide copyright, and other intellectual property laws. Ownership and intellectual property rights in the website and its content shall remain with ZKART EXPRESS , its affiliates, or licensors of ZKART EXPRESS content.
Any rights not explicitly stated in this agreement or bywww.zkartlogistics.in .in are reserved. The information provided on this website is intended for general personal use, and the reader assumes full responsibility for its utilization. ZKART EXPRESS does not validate the accuracy or reliability of any information or advertisements (collectively referred to as "content") on or linked to the Services within this website. ZKART EXPRESS does not endorse the quality of any products, information, or materials acquired as a result of an advertisement or information presented through the Service.
We take no responsibility for errors, omissions, or outcomes from using this information. The icons and logos associated with ZKART EXPRESS are registered trademarks or service marks, protected by copyright, trademark, and other proprietary rights laws in multiple jurisdictions. Any unauthorized copying, modification, use, or publication of these marks is strictly prohibited.
Any systematic retrieval or compilation of ZKART EXPRESS content, whether directly or indirectly, for the purpose of creating collections, compilations, databases, or directories (using robots, spiders, automatic tools, or manual processes) without written permission from ZKART EXPRESS is strictly prohibited.
Moreover, using the content for purposes not explicitly permitted in this agreement is prohibited and may result in legal action. By accessing and utilizing ZKART EXPRESS services, you agree not to infringe upon the intellectual property rights of others through the website service. ZKART EXPRESSreserves the right to terminate a user's account if they infringe upon the rights of others while using the ZKART EXPRESS service or if their conduct is deemed detrimental to the interests of ZKART EXPRESS, its affiliates, or other users, at ZKART EXPRESS sole discretion, with or without cause

12. Consent to Electronic Communications and Transactions:
User Consent: By clicking the 'I Agree' button, the user explicitly consents to conduct transactions and receive various communications, notices, and information electronically from the platform or service provider.
Communication Methods: Electronic communications, including emails or other electronic means, will be utilized for sending notifications, information, or notices to the user
Receipt Confirmation: The user acknowledges that these electronic communications shall be considered received:
When sent to the email address or mobile number recorded in the platform's records.
When posted within the Application or on the Website, accessible to the user.

13. Choice of Law and Dispute Resolution
Governing Law: These Terms of Use are governed by the laws of India, without consideration to conflicts of law principles.
Jurisdiction: Any dispute arising from or in connection with these Terms or the Website shall be exclusively subject to the jurisdiction of the courts in Coimbatore, India.
Consent to Jurisdiction: By agreeing to these terms, users expressly consent to the personal jurisdiction of the courts in Coimbatore, India, and waive any objections based on forums non-conveniens or any other basis that might challenge such jurisdiction.
